Developer Listing Agreement

A listing you submit is your advertisement of your property. Keyva publishes it on your instruction and does not market, offer, promote or solicit any property on its own account, does not act for you or for any buyer, does not negotiate, and takes no commission or other remuneration on any transaction.

Keyva is not a registered real estate broker under Bylaw No. 85 of 2006 and does not carry on real estate brokerage. Nothing in this Agreement appoints Keyva as your broker, agent or representative.

You represent and warrant, on each submission and for as long as a listing remains published, that: (a) you hold a valid trade licence permitting you to develop, own or market the property; (b) you are registered with the Dubai Land Department where registration is required for your activity; and (c) you are authorised by the owner or master developer of the project to advertise it.

You will tell us within seven days if any of those ceases to be true. A listing supported by a lapsed licence or withdrawn authority will be unpublished.

Dubai requires a valid advertising permit, issued through the Dubai Land Department's Trakheesi system and supervised by RERA, for every advertisement of real property in the Emirate — including online listings. The permit is issued to the licensed advertiser. That is you.

Accordingly, before a listing is published you must supply the permit number, the authority that issued it, and its expiry date. You warrant that the permit is validly issued to you, is unexpired, and covers this property and this advertisement.

The permit number will be displayed on the published listing, as the advertising rules require. You authorise Keyva to display it and to verify it with the issuing authority.

A listing whose permit expires will be unpublished automatically. Keyva may also unpublish immediately, without notice, on being informed by any authority that a permit is invalid, withdrawn or does not cover the advertisement.

Keyva does not obtain, issue, renew or guarantee permits, and its acceptance of a permit number is not a finding that the permit is valid. Verification available to us is a check, not an assurance.

You represent that every detail you submit — project name, area, property type, status, dates, unit types, sizes, prices and payment plans — is accurate as at the date you state, and that any price shown is a price at which units are genuinely available.

You own or hold the rights to every image and document you upload, each depicts this project, and any computer-generated impression is marked as a render rather than presented as a photograph.

You are solely responsible for compliance with all applicable requirements for your project and its marketing, including escrow account and Oqood registration for off-plan sales, and consumer protection and advertising standards. Nothing here substitutes for those obligations.

Keyva will display Dubai Land Department transaction records for your project or its area next to your stated prices, including where the two differ, and will label your figures as asking prices and the Department's as registered prices. This comparison is the reason listings are accepted here. It is not removable, and it is not negotiable for an individual listing.

Registered transaction data is not yours and is not altered at your request. You may submit a short factual response to a comparison, which we may publish alongside it at our discretion.

You will indemnify and hold harmless Fikra Ventures FZE LLC, a Free Zone Entity incorporated under Amiri Decree No. 15 of 2023 at Ajman NuVentures Centre Free Zone, holding trade license/registration number 2629617609888, with its registered address at Office BC-892072, 26th Floor, Amber Gem Tower, Sheikh Khalifa Street, P.O. Box 4848, Ajman, United Arab Emirates, its officers and employees, against any claim, fine, penalty, loss or reasonable legal cost arising from: (a) the absence, invalidity, expiry or misuse of an advertising permit for a listing you submitted; (b) any statement in your listing that is inaccurate or misleading; (c) any image or document you uploaded infringing a third party's rights; or (d) your breach of this Agreement or of applicable law.

This indemnity survives termination of your Developer role and the removal of your listings.

Every listing is reviewed by a person before it is published. Keyva may decline, edit for clarity, request supporting documents for, unpublish, or permanently remove any listing that appears inaccurate, misleading, non-compliant or unsupported — before or after publication, and without notice where a legal or regulatory risk requires it.

Review is not approval. It is not a finding that your listing is accurate, that your permit is valid, or that your project complies with any requirement. Those remain yours.

You will confirm or update a listing when asked, and will withdraw it once its information stops being true. A listing that goes unconfirmed, or whose permit lapses, will be unpublished.

The Developer portal is currently free. We may introduce fees for some or all Developer features, with reasonable advance notice before a feature you already use becomes paid.

Keyva does not guarantee views, enquiries, leads or sales, and does not rank or promote listings in return for payment.

Where your listing includes contact details for enquiries, you are the controller of any personal data of the people who contact you, and you are responsible for handling it in accordance with Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data. Do not upload personal data of any other individual without a lawful basis for doing so.

You may remove your listings at any time. We may suspend or revoke Developer status, or remove listings, for breach of this Agreement, the Terms of Service, or applicable law. Sections 6 (Indemnity), 10 (Personal data) and 12 (Governing law) survive termination.

You are solely responsible for your listings and for any transaction arising from them. Keyva is a technology platform, is not a party to any transaction between you and a buyer, and accepts no liability for one.

This Agreement is governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai, consistent with the Terms of Service.
